Sheffield’s SIG completes HC Groep acquisition

Sheffield-based SIG plc, the European specialist solutions provider to the construction industry, has acquired HC Groep B.V, for an undisclosed amount.

HC Groep is a specialist Air Handling systems provider based in the Netherlands and the UK (Brighouse, West Yorkshire) with turnover of €45m.

The acquisition of HC Groep supports SIG’s growth strategy for its Air Handling operations across Europe. This acquisition will enhance SIG’s customer proposition by extending its product and system offering, including in areas of climate ceilings and car park and tunnel ventilation, plus new service capabilities.

The acquisition will complement SIG’s existing Air Handling operations in the Netherlands and the UK, including Air Trade Centre and previously acquired businesses Inatherm and SK Sales.

The existing management team of HC Groep will remain with the business to deliver the continued growth and development of the company.

The Leeds office of law firm Irwin Mitchell advised SIG on the transaction in respect of UK law. The multidisciplinary team included corporate advisors Philip Goldsborough, James Foster and Natalie Hager, real estate lawyer David Cowgill, employment law specialist Padma Tadi and tax specialist Alex Barnes.

Kennedy Van der Laan (Louis Bouchez and Floor Veltman) provided legal advice to SIG in the Netherlands.

James Foster, corporate partner at Irwin Mitchell in Leeds, said: “This is an important deal for SIG and we are delighted to have advised them on this cross border transaction. It was another good team effort from the Corporate team at Irwin Mitchell in Yorkshire.”
