Manchester-headquartered NCC Group signs £93.5m deal to acquire cyber security business
Information assurance firm NCC Group is set to acquire Fox-IT Holding B.V., a cyber security business based in the Netherlands, for approximately €133.25m (£93.5m).
The Manchester-based company plans to raise £126.3m through the Firm Placing of almost 23m new shares to certain existing and new institutional investors, and through the Placing and Open Offer of around 23m new shares at an Issue Price of 275p each.
NCC Group’s chief executive, Rob Cotton, said: “This is a unique opportunity to acquire a leading, substantial European cyber security business that focusses on security analysis and threat intelligence; at a time that organisations globally are only now beginning to appreciate that they need to be proactive, not reactive, in dealing with cyber security.
“Fox has an impressive reputation and brand with a high quality client base, including government security departments and global organisations.”
He added: “The business also has a range of complementary professional and managed services and products which we aim to distribute internationally.”
Speaking further, Mr Cotton said Fox’s quality management team and 250 technical security experts, as well as its assurance cryptology and forensics capabilities, would push NCC Group closer “towards our aspiration of becoming the leading player in the expanding global cyber security market”.
NCC Group’s three divisions, NCC Group Escrow, NCC Group Domain Services and NCC Group Assurance, employ 1,500 people across 30 offices worldwide.
